These Terms of Use (“Terms”) govern your access to and use of the website at media-nexus.com (the “Site”), operated by Media Nexus Inc (“Media Nexus,” “we,” “us,” or “our”), a Georgia company.

By using the Site, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Site.

These Terms apply only to the Site. Design, installation, service, and other project work are governed by a separate written agreement, proposal, or statement of work. If there is a conflict between these Terms and a signed project contract, the project contract controls for that work.

2. The Site is informational

Content on the Site—including descriptions of technologies, photos, case-style language, and process descriptions—is for general information. It is not a bid, specification, engineering stamp, or promise that a particular product or design will fit your facility. Project scope, price, schedule, and performance are established only in a written agreement we issue or sign.

We may change, correct, or remove Site content at any time without notice. We do not guarantee that the Site will be available, error-free, or current.

3. Acceptable use

You may use the Site only for lawful purposes and in a way that does not harm us, the Site, or other people. You agree not to:

• • probe, scan, or test vulnerability except with our written permission
• • use bots, scrapers, or other automated means to copy the Site in bulk
• • introduce malware or interfere with Site operation

We may block access or remove content if we believe these Terms have been violated.

4. Contact forms and other submissions

If you send us a message, resume, project details, or files, you represent that the information is accurate to the best of your knowledge and that you have the right to send it. You grant us a limited right to use that information to evaluate and respond to your inquiry and, if we work together, to perform the work.

Do not send confidential product designs, passwords, payment-card numbers, Social Security numbers, or other sensitive data through the Site or unencrypted email unless we have asked for that information through a secure method.

5. Intellectual property

The Site and its text, graphics, logos, photos, layout, and other content are owned by Media Nexus or its licensors and are protected by copyright, trademark, and other laws.

You may view and print pages for your own internal business or personal reference. You may not copy, republish, sell, scrape, or create a derivative website from our content without our prior written consent.

“Media Nexus,” related logos, and the look of the Site are our trademarks or trade dress. You may not use them without permission.

6. Linking to the Site

You may link to our homepage if the link is fair, not misleading, and does not suggest that we sponsor or endorse you. You may not use our logo or other artwork in a link without a written trademark license. You may not frame the Site or wrap our pages in another site’s design without our written permission.

We may withdraw linking permission at any time. If we ask you to remove a link, you will do so promptly.

The Site may contain links to manufacturer or third-party sites. Those sites have their own terms. We are not responsible for them.

7. Cookies and privacy

The Site uses cookies and similar tools as described in our Privacy Policy. Using the Site does not, by itself, replace any consent that may be required for certain cookies. See the Privacy Policy for details on collection and use of personal information.

8. Disclaimer of warranties

THE SITE AND ALL CONTENT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, secure, or free of errors or harmful components, or that information on the Site is complete or accurate.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MEDIA NEXUS INC AND ITS OFFICERS, EMPLOYEES, AND CONTRACTORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE SITE WILL NOT EXCEED ONE HUNDRED DOLLARS (US $100).

Some jurisdictions do not allow certain limitations. In those cases, our liability is limited to the fullest extent permitted by law. This section does not limit liability that cannot be limited under applicable law.

These limits apply to website use only. Liability for paid project work is addressed in the applicable project contract.

10. Indemnity

You will defend, indemnify, and hold harmless Media Nexus Inc and its officers, employees, and contractors from claims, damages, losses, and reasonable legal fees arising out of your misuse of the Site, your submissions, or your violation of these Terms or of law.

11. Governing law and venue

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law rules. Exclusive venue for any dispute arising out of the Site or these Terms is the state or federal courts located in Georgia. You consent to personal jurisdiction there.

12. Changes

We may update these Terms by posting a new version on this page and changing the “Last updated” date. Continued use of the Site after a change means you accept the revised Terms.

13. General

If a provision of these Terms is held unenforceable, the rest remains in effect. These Terms are the entire agreement between you and us regarding the Site and supersede prior website terms. They do not create a partnership, employment, or agency relationship. You may not assign these Terms without our consent. We may assign them in connection with a reorganization or sale of the business. Failure to enforce a provision is not a waiver.
